Terms of Service

These Terms of Service (the "Terms") govern the contractual relationship between the operator of this Pluma instance, whose full legal identification is set out in the Impressum ("Provider", "we", "us"), and any natural or legal person who registers for or uses the hosted Service described below ("Customer", "you"). By creating an account or otherwise using the Service, you accept these Terms.

Terms of business that conflict with or supplement these Terms — including any general terms of the Customer — shall not become part of the contract, even where we do not expressly object to them, unless we have agreed to their inclusion in text form.

1. Definitions

  • "Service" means the Pluma software-as-a-service offering operated under the Provider's name, including the web application, the REST API, all related interfaces, and the documentation published on this website.
  • "Customer Data" means all data that the Customer or its end users upload, generate, transmit, or store through the Service, including but not limited to PDF templates, field definitions, JSON inputs, and rendered documents.
  • "Plan" means a published subscription tier (currently Free, Pro, and Enterprise) with the feature set, quotas, and price set out on the Pricing page.
  • "Consumer" means a natural person entering into a contract for purposes that are predominantly outside their trade, business, or profession (§ 13 BGB).
  • "Business Customer" means any Customer who is not a Consumer, including entrepreneurs within the meaning of § 14 BGB.

2. The Service

The Service enables the Customer to upload PDF templates, position form fields visually, and generate filled PDF documents programmatically via the REST API or via the in-browser application. The functional scope, performance characteristics, and quantitative limits of each Plan are described on the Pricing page and in the technical documentation. The published scope is binding for the contractual content; statements made in marketing materials, blog posts, or oral communications do not establish guarantees within the meaning of § 443 BGB unless expressly designated as such.

We are entitled to develop the Service further, including by adding, modifying, or discontinuing individual features, provided the contractually agreed core functionality remains available. Material reductions of functionality will be notified to the Customer at least 30 days in advance in text form.

3. Conclusion of contract

The presentation of the Service on this website does not constitute a binding offer within the meaning of § 145 BGB; it constitutes an invitation to the Customer to submit an offer (invitatio ad offerendum). The Customer submits a binding offer by completing the registration process and confirming acceptance of these Terms. The contract is concluded when we confirm the registration by activating the Customer's account; an automated confirmation email serves as evidence of activation. For paid Plans, the binding offer is submitted on completion of the Stripe checkout flow, and the contract is concluded on successful authorisation of the payment instrument.

4. Registration and account security

Registration requires the provision of a valid email address and, where the Customer is a business, the additional information required for the issuance of tax-compliant invoices (§ 14 UStG). The Customer warrants that the information provided on registration is accurate and complete and shall keep it current throughout the contract.

The Customer is responsible for the confidentiality of its access credentials and API keys and for all activity occurring under its account. The Customer shall notify us without undue delay at [email protected] upon any actual or suspected compromise of credentials or API keys.

5. Prices, payment, and renewal

All prices stated on the Pricing page are in Euro and exclude the statutory value-added tax applicable at the time of invoicing, unless otherwise marked. Where the reverse-charge procedure applies to a Business Customer established in another EU Member State and the Customer has provided a valid VAT identification number, invoices are issued net of VAT.

Paid Plans are billed in advance for the elected billing period (monthly or annual). Payment is processed by Stripe Payments Europe, Ltd. (Dublin, Ireland) on our behalf. The Customer is in default, without further notice, as soon as a payment is not honoured by the chosen payment instrument; in such case we are entitled to suspend the Service after a written reminder and reasonable cure period of at least seven days has elapsed.

Unless the Customer terminates in accordance with section 8, subscriptions renew automatically for an additional billing period of the same length at the price then in force. Price changes will be notified at least 30 days before they take effect and apply only to billing periods commencing after that date; the Customer may terminate to the date on which the new price takes effect.

6. Right of withdrawal for Consumers (Widerrufsrecht)

This section applies only to Consumers. Business Customers have no right of withdrawal.

Withdrawal instructions

You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day of the conclusion of the contract.

To exercise your right of withdrawal, you must inform us — the Provider whose full contact details are set out in the Impressum — by a clear declaration (for example, a letter sent by post or an email to [email protected]) of your decision to withdraw from this contract. You may use the model withdrawal form set out below, although its use is not mandatory. To observe the withdrawal period it is sufficient that you send the notification of the exercise of the right of withdrawal before the expiry of the withdrawal period.

Consequences of withdrawal

If you withdraw from this contract, we shall reimburse to you all payments received from you, without undue delay and not later than fourteen days from the day on which we are informed of your decision to withdraw. We shall carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will incur no fees as a result of such reimbursement.

Where you have requested that the performance of the Service begin during the withdrawal period, you shall pay us an amount which is in proportion to the part of the Service provided until you communicated your withdrawal, in comparison with the full scope of the contract.

Early performance and expiry of the right of withdrawal

The Service is provided immediately on conclusion of the contract. By proceeding through checkout you expressly request that performance begin before the end of the withdrawal period and you acknowledge that you lose your right of withdrawal once the Service has been fully performed (§ 356 (4) BGB). For an ongoing subscription, the right of withdrawal lapses for each billing period as soon as that period has been fully provided.

Widerrufsbelehrung für Verbraucher (verbindliche deutsche Fassung)

Diese deutsche Fassung der Widerrufsbelehrung ist für Verbraucher mit Wohnsitz in der Bundesrepublik Deutschland maßgeblich. Die vorstehende englische Fassung dient ausschließlich der Information.

Widerrufsrecht

Sie haben das Recht, binnen vierzehn Tagen ohne Angabe von Gründen diesen Vertrag zu widerrufen. Die Widerrufsfrist beträgt vierzehn Tage ab dem Tag des Vertragsabschlusses.

Um Ihr Widerrufsrecht auszuüben, müssen Sie uns — dem Anbieter, dessen vollständige Kontaktdaten im Impressum angegeben sind — mittels einer eindeutigen Erklärung (z. B. ein mit der Post versandter Brief oder eine E-Mail an [email protected]) über Ihren Entschluss, diesen Vertrag zu widerrufen, informieren. Sie können dafür das nachstehende Muster-Widerrufsformular verwenden, das jedoch nicht vorgeschrieben ist. Zur Wahrung der Widerrufsfrist reicht es aus, dass Sie die Mitteilung über die Ausübung des Widerrufsrechts vor Ablauf der Widerrufsfrist absenden.

Folgen des Widerrufs

Wenn Sie diesen Vertrag widerrufen, haben wir Ihnen alle Zahlungen, die wir von Ihnen erhalten haben, unverzüglich und spätestens binnen vierzehn Tagen ab dem Tag zurückzuzahlen, an dem die Mitteilung über Ihren Widerruf dieses Vertrags bei uns eingegangen ist. Für diese Rückzahlung verwenden wir dasselbe Zahlungsmittel, das Sie bei der ursprünglichen Transaktion eingesetzt haben, es sei denn, mit Ihnen wurde ausdrücklich etwas anderes vereinbart; in keinem Fall werden Ihnen wegen dieser Rückzahlung Entgelte berechnet.

Haben Sie verlangt, dass die Dienstleistung während der Widerrufsfrist beginnen soll, so haben Sie uns einen angemessenen Betrag zu zahlen, der dem Anteil der bis zu dem Zeitpunkt, zu dem Sie uns von der Ausübung des Widerrufsrechts hinsichtlich dieses Vertrags unterrichten, bereits erbrachten Dienstleistungen im Vergleich zum Gesamtumfang der im Vertrag vorgesehenen Dienstleistungen entspricht.

Vorzeitiger Beginn und Erlöschen des Widerrufsrechts

Die Dienstleistung wird unmittelbar nach Vertragsschluss bereitgestellt. Mit dem Abschluss eines kostenpflichtigen Tarifs oder einer Guthabenaufladung und dem Durchlaufen des Bezahlvorgangs verlangen Sie ausdrücklich, dass wir mit der Ausführung der Dienstleistung vor Ablauf der Widerrufsfrist beginnen, und bestätigen Ihre Kenntnis davon, dass Ihr Widerrufsrecht mit vollständiger Vertragserfüllung erlischt (§ 356 Abs. 4 BGB). Bei einem laufenden Abonnement erlischt das Widerrufsrecht für den jeweiligen Abrechnungszeitraum, sobald dieser vollständig erbracht wurde.

7. Acceptable use

The Customer shall not use, and shall procure that its end users do not use, the Service to:

  • generate, store, or transmit content that infringes third-party rights, violates applicable law, or is otherwise unlawful;
  • circumvent quotas, rate limits, authentication mechanisms, or other technical controls;
  • reverse-engineer, decompile, or disassemble the Service, except to the extent permitted by mandatory law (in particular § 69d, § 69e UrhG);
  • upload or transmit malware, phishing content, or any other harmful payload;
  • use the Service for the systematic mass dispatch of unsolicited communications;
  • resell, sublicense, or otherwise make the Service available to third parties outside the scope of normal use of the Customer's Plan.

Where the Customer materially breaches this section we may suspend the affected workspace with reasonable advance notice where the circumstances permit. In cases of severe or ongoing breach, suspension may take effect immediately.

8. Term, termination, and data return

The contract is concluded for an indefinite term and may be terminated by either party at the end of the then-current billing period. Termination by the Customer is effected from the Account page or, for Consumers, by any other clear statement. The right of either party to terminate for cause within the meaning of § 314 BGB remains unaffected; in particular, we may terminate for cause where the Customer materially breaches section 7 and fails to cure that breach within a reasonable cure period after written notice.

Following termination, Customer Data is deleted within 30 days, save where statutory retention obligations require longer preservation or the Customer has expressly requested earlier deletion. On request made within that 30-day window, the Customer is entitled to receive an export of its Customer Data in a structured, commonly used, machine-readable format (Article 20 GDPR).

9. Intellectual property

The Customer owns all Customer Data and grants us only such rights as are necessary to perform the Service: a non-exclusive, worldwide, royalty-free, sub-licensable (only to sub-processors engaged in accordance with the Data Processing Agreement) right to host, copy, transmit, render, and display Customer Data for the purpose of providing the Service to the Customer. We do not use Customer Data to train any machine-learning model and we do not sell or otherwise commercially exploit Customer Data.

All rights in and to the Service, including the underlying software, documentation, trademarks, and goodwill, remain with us or our licensors. The Customer obtains only a non-exclusive, non-transferable right to use the Service during the term in accordance with these Terms and the elected Plan.

10. Service availability and warranty

We provide the Service with due care in accordance with the state of the art. The Service is made available to Free Plan users on a best-effort basis without any specific availability commitment. For paid Plans we use commercially reasonable efforts to maintain availability of 99.5% per calendar month, excluding maintenance windows announced in advance and circumstances beyond our reasonable control (section 13). A contractually binding service-level agreement is reserved for Enterprise customers and concluded individually.

Statutory warranty rights of the Customer remain unaffected. For Business Customers, claims based on defects shall lapse one year after the act giving rise to the claim, except in cases of intent, gross negligence, or injury to life, body, or health.

11. Confidentiality

Each party shall treat the other party's confidential information with the same care it applies to its own confidential information of comparable importance, and in any event with at least reasonable care, and shall use it solely for the performance of the contract. This obligation continues for three years after the end of the contract. It does not apply to information that is publicly known without breach of this clause, was lawfully known prior to disclosure, is independently developed without recourse to the disclosing party's information, or must be disclosed by law or by a binding order of a competent authority.

12. Limitation of liability

We are liable without limitation for intent and gross negligence; for injury to life, body, or health; under the German Product Liability Act (Produkthaftungsgesetz); and to the extent we have assumed a guarantee or fraudulently concealed a defect.

For breaches of material contractual obligations (i.e., obligations the fulfilment of which is essential to the proper performance of the contract and on whose observance the Customer regularly relies — "Kardinalpflichten"), our liability for slight negligence is limited to the foreseeable damage typical for this type of contract. Any further liability for slight negligence is excluded.

To the extent permitted by law, our aggregate liability for all events giving rise to a claim within any twelve-month period is limited to the fees actually paid by the Customer to us during that period.

The above limitations apply mutatis mutandis to the personal liability of our employees, agents, and vicarious agents.

13. Force majeure

Neither party shall be liable for any failure or delay in performance to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to natural disasters, war, civil unrest, official acts, denial-of-service attacks, large-scale internet outages, or strikes. The affected party shall notify the other party without undue delay and shall use commercially reasonable efforts to mitigate the effects. Where the impediment persists for more than 30 consecutive days, either party may terminate the affected portion of the contract for cause.

14. Data protection

Our processing of personal data in providing the Service is described in the Privacy Policy. Where the Customer processes personal data through the Service in its capacity as controller and we act as processor on its behalf, the Data Processing Agreement shall apply as an integral part of these Terms.

15. Changes to these Terms

We may amend these Terms with at least 30 days' prior notice in text form to the email address associated with the Customer's account. The Customer may object to any change within that notice period; in the absence of an objection, the amended Terms are deemed accepted. We will draw the Customer's attention to this consequence in the notice. Where the Customer objects, the contract continues on the previous Terms and we may terminate on the date the changes take effect. Changes that affect only marginal aspects of the contract or that are exclusively beneficial for the Customer may take effect immediately upon notice.

16. Final provisions

These Terms are governed by the laws of the Federal Republic of Germany, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods. The application of mandatory consumer-protection provisions of the Consumer's habitual residence remains unaffected.

Where the Customer is a merchant within the meaning of the German Commercial Code (HGB), a legal person under public law, or a special fund under public law, exclusive venue for all disputes arising from or in connection with these Terms is the Provider's registered seat. We are nonetheless entitled to bring proceedings at the Customer's registered seat.

Should any provision of these Terms be or become invalid or unenforceable in whole or in part, the validity of the remaining provisions shall not be affected. In place of the invalid or unenforceable provision the parties shall agree on such valid and enforceable provision as comes closest to the economic purpose of the invalid or unenforceable provision.

The Customer may not assign any rights or obligations under the contract without our prior written consent. We may assign the contract in connection with a merger, reorganisation, or sale of substantially all our assets relating to the Service, provided that the assignee assumes the contract in full.

The contract language is English; for Consumers resident in Germany the German text of the Widerrufsbelehrung in section 6 is binding.
